Privacy policy
1. Introduction
Fraction Légal Inc., doing business as Baumier, and all of its affiliates and subsidiaries (collectively “Baumier”, “we”, “our” or “us”) respect your privacy and are committed to protecting it by complying with this privacy policy (our “policy”).
Our policy describes how we use, collect, hold and disclose the personal information of our clients, suppliers, subcontractors, employees, job applicants and users of our website (“you”); our policies and practices governing personal information, including its retention and destruction, the roles and responsibilities of our staff throughout its life cycle and our complaint-handling process; and the types of information we may collect from you or that you may provide when you visit the website www.baumier.legal and its subdomains (our “website”).
We will only use your personal information in accordance with our policy, unless applicable law provides otherwise.
2. Personal information
“Personal information” means any information about a natural person that allows that person to be identified, directly or indirectly. Our policy generally does not apply to information relating to a person's performance of their duties within an organization (name, title, function, business contact details), but we handle such information at all times in strict compliance with applicable law. In the course of your relationship with Baumier, you may be asked to provide certain personal information about yourself or about other people (family members, employees).
3. Purposes of collection
Baumier uses, collects, holds and discloses personal information only for the purposes identified at the time of collection, or as otherwise permitted or required by law, including: providing legal and related services; complying with our professional obligations, including client identification and verification rules; establishing and managing relationships with clients and suppliers, including deciding whether to establish a relationship; responding to and following up on inquiries made through the website; sending updates on the law and our services; administrative, management and operational purposes such as billing, account management and payment processing; and any other purpose to which you have consented.
4. Employees and applicants
As an employer, Baumier collects, uses and discloses personal information. For our employees, this collection is part of managing the employment relationship. For applicants, their information is used to assess their suitability for available positions, which may involve information obtained from third parties (background checks, references). If an applicant is not selected, their information is retained for a reasonable period for future opportunities, unless deletion is requested. We retain certain information about former employees for potential professional or regulatory requirements.
5. Limitation
Baumier limits the personal information it collects to what is necessary and appropriate for the identified purposes. We will not use or disclose your information for other purposes unless you consent or the law permits or requires it.
6. Consent
We use, hold and disclose personal information only for the purposes for which it was collected, unless the person concerned consents. If information about a third party is provided to us, the person providing it confirms that they have obtained the necessary consent from that third party or are otherwise authorized to disclose it to us. For sensitive information, express consent is required. Exceptions may apply, for example when we act as a client's legal representative, in an emergency, for fraud detection and prevention, or to meet a legal obligation. For a more complete list, contact our privacy officer.
7. Withdrawal of consent
You may modify or withdraw your consent to the use, retention and disclosure of your personal information, subject to applicable legal and contractual restrictions, by contacting our privacy officer (identified below).
8. Information we may collect
We collect, among other things: contact information (name, address, email, phone); for applicants, work history and résumé; biographical information (title, employer); information you provide to describe or assess your needs or those of your business; information about website use and other technical information (visits, interactions with our content, cookies and other tracking technologies); and any other information you provide to us.
Providing information through our website does not create a lawyer-client relationship.
9. How we collect your information
Through direct interactions with you (forms, booking a time slot, correspondence by phone or email, signing up for our communications — you may unsubscribe at any time via the link included in each message); through automated technologies as you browse our website (usage details, IP addresses, cookies, web beacons); from third parties you have authorized to share it with us; and from publicly available sources.
10. Cookies
Cookies are small text files that a website places on your device. They help remember your preferences and tailor content. We use functional cookies (to remember your selections, such as language) and analytics cookies (to improve the site's design and functionality by collecting data on how you access it).
Our site lets you accept or refuse cookies. You can also configure your browser to block certain cookies or delete those already stored. Some site features may then be limited. Consult your browser's website to manage your preferences.
11. How we use your information
To provide our legal services and conduct our business, assess your needs, administer and perform our services, including fulfilling our obligations under any agreement with you; for applicants, to make contact and assess hiring; to assess whether we will act for you and stay in touch; to respond to website visitors' requests; to facilitate use of the site and present its content effectively; for marketing and business development purposes (new services, legal updates, newsletters) where you have chosen to receive them — you may ask us to stop at any time; and to meet our legal, regulatory or risk-management obligations.
12. Disclosure of your information
We may disclose your personal information: to third parties in the context of legal proceedings; to contractors, service providers and other third parties we use to support the delivery of our services (hosting, cloud, booking tools, email, administrative services), who are contractually bound to keep it confidential and handle it to the same standards as our policy; to achieve the purpose for which you provided it; for any other purpose disclosed at the time of collection; with your consent; and to comply with a court order, law or legal process, including a request from a government or regulatory body.
Baumier does not sell or trade any personal information for consideration. Information covered by solicitor-client privilege is disclosed only on your instructions or when the law requires it.
13. Third-party service providers
When Baumier uses third-party providers to store, manage or process personal information on its behalf (data storage and processing, cloud computing), we use contractual and other means to ensure a comparable level of protection. Our providers have contractually committed to protecting your information against unauthorized access, collection, use or disclosure.
14. Disclosure outside Quebec or Canada
When personal information is located outside Canada, it may be accessible to foreign governments, courts and authorities where required by law or court order. We disclose information outside Canada only in compliance with Canadian law and for lawful purposes, solely to provide our services or support our business in a reasonably efficient manner.
Before any disclosure outside Quebec, we conduct a privacy impact assessment in accordance with Quebec law, taking into account the sensitivity of the information, the purpose of its use, the protective measures (including contractual ones) and the legal regime applicable in the destination jurisdiction. Information is disclosed only if the assessment shows adequate protection. To learn more about our providers located outside Quebec, contact our privacy officer. By providing us with your information, you consent to such disclosure, use or retention.
15. Territorial restrictions
Baumier is established and operates under the laws of Quebec, Canada. If you reside or are established outside Quebec, you are responsible for ensuring that transmitting your information to Baumier is permitted by the laws applicable to you. By transmitting it to us, you acknowledge that it will be subject to the laws of Quebec and that Baumier cannot be held liable for non-compliance with the laws of your jurisdiction.
16. Governance and security
We take the security and responsible management of your personal information very seriously. Our governance policies have been approved by our privacy officer and are proportionate to the scope and complexity of our activities.
Data life cycle: we retain your information only as long as necessary for the purposes for which it was collected, unless a longer retention period is legally required (including rules governing the practice of law and tax laws), and then ensure its secure destruction or anonymization.
Responsibilities: our employees' roles in handling information are clearly defined; all receive training and are held accountable for any breach. We contract only with suppliers who commit to industry-standard security measures and applicable laws.
Assessments: we conduct periodic internal assessments of how information is collected, stored, processed and deleted, in order to continuously improve our measures.
Artificial intelligence tools: Baumier uses proprietary tools and AI models to support its lawyers' work. Your documents are not used to train models accessible to third parties. Every deliverable is reviewed and approved by a lawyer who is a member of the Barreau du Québec.
Security measures: we apply a layered approach (physical, electronic and administrative measures) to prevent unauthorized access, use, alteration and disclosure. While these measures align with best practices, the absolute security of online transmissions cannot be guaranteed; such transmissions are at your own risk.
17. Retention, destruction and anonymization
Unless otherwise permitted or required by law, we retain your information only as long as necessary to fulfil the purposes for which we collected it, including to satisfy any legal, accounting or reporting requirement. We may anonymize your information so that it can no longer be associated with you, and use that anonymized information for any legitimate purpose.
18. Privacy officer
It is important that the information we hold about you is accurate and current; please inform us of any changes. The law gives you the right to request access to your personal information and to have it corrected. To review, verify or correct your information, or to withdraw your consent, write to our privacy officer.
Addressed to: Privacy Officer — Email: hello@baumier.legal — Mail: 2001 Robert-Bourassa Blvd., Suite 1700, Montreal, Quebec H3A 2A6.
We may refuse a request if we believe the change would violate a law or make the information incorrect.
19. Changes to our policy
Privacy laws evolve quickly; our policy may be amended from time to time, at our sole discretion, without notice. The collection, use and disclosure of your information will be governed by the version in force at that time. Where permitted, we may notify you of any material change by email, in addition to updating the last-modified date shown on this page.
20. Complaints
Baumier will respond to complaints and questions about its compliance with this policy and applicable laws. We will review and attempt to resolve any complaint. To challenge our compliance with this policy, contact our privacy officer at the details above.
21. SMS communications
If you agree to receive text messages (SMS) from Baumier, you expressly consent to your phone number being used for SMS communications (service notifications, reminders, alerts, information related to your file and, where applicable, promotional communications). You confirm that the number provided is yours. Messages will clearly identify Baumier, or an authorized provider acting on its behalf, as the sender. Express consent is required before any message is sent and may be withdrawn at any time by replying “STOP”, “UNSUBSCRIBE” or by following the instructions in the message. Standard messaging and data rates may apply depending on your carrier; Baumier is not responsible for them. Data processed in this context (number, sending logs) is handled in accordance with this policy.
